Introduction

These Affiliate Program Terms and Conditions (the 'Agreement') govern participation in the SkyLight Affiliate Program (the 'Program'), operated by GetSkyLight Pte. Ltd., a company incorporated in Singapore ('GetSkyLight', 'we', 'our', or 'us'). By applying to or participating in the Program, the individual or entity ('Affiliate', 'you', or 'your') agrees to be bound by the terms of this Agreement.

Definitions

Affiliate:
An individual or entity participating in the Program by promoting SkyLight.
Qualified Customer:
A customer who signs up through an Affiliate's referral link or referral code, becomes a paying customer (excluding free trials or canceled accounts), and has not previously been a SkyLight customer.
Referral Window:
The 30-day period following a user's click or use of an Affiliate's unique referral link or referral code during which purchases qualify for commission.

1. Enrollment in the Program

To enroll, you must complete the online application available on the SkyLight website. We review all applications and reserve the right to accept or reject any applicant at our sole discretion. Reasons for rejection include but are not limited to promoting unlawful, offensive, misleading content, or content inconsistent with SkyLight's brand and reputation. Affiliates must provide accurate, complete, and up-to-date contact and payment information at all times.

2. Affiliate Responsibilities

You agree to promote SkyLight lawfully, ethically, and honestly, using only approved materials; avoid false claims or spam; comply with GDPR and advertising laws; disclose your affiliate status; and refrain from self-referrals or artificial traffic.

3. Tracking and Attribution

Each Affiliate receives a unique referral link or code to track referred customers. Referrals qualify only if a purchase occurs within 30 days of the click or code use. GetSkyLight may deny commissions for prior contacts. All tracking complies with privacy laws.

4. Commissions

Affiliates earn 10% to 40% of net revenue from Qualified Customers based on performance tiers. Commissions exclude taxes, refunds, chargebacks, and discounts. GetSkyLight may adjust tiers with notice.

5. Payments

Commissions are paid monthly, 30 to 45 days post-month-end, via PayPal or bank transfer, with a USD 100 minimum. Payments are in USD or customer's currency at GetSkyLight's discretion. Fees or conversion costs are the Affiliate's responsibility.

6. Refunds, Chargebacks, and Adjustments

Refunded, canceled, or chargebacked transactions reverse or reduce commissions. Fraudulent or non-compliant activity may lead to withheld commissions.

7. Term and Termination

This Agreement remains effective until terminated by either party via written notice. Upon termination, Affiliates must stop using SkyLight materials; unpaid commissions are paid per schedule; and no new commissions accrue. Immediate termination applies for fraud or misconduct.

8. Modifications to the Program

GetSkyLight may modify or terminate the Program, including commission structure, with notice via email or dashboard. Continued participation signifies acceptance.

9. Intellectual Property

GetSkyLight grants a limited, non-transferable license to use SkyLight's logos and promotional materials solely for Program promotion. Affiliates may not alter or misrepresent them. All goodwill benefits GetSkyLight.

10. Confidentiality

Confidential information disclosed under this Agreement must not be shared or used beyond this Agreement's scope.

11. Data Protection and Privacy

Both parties comply with data protection laws including GDPR. Affiliates may not collect or use referred customers' personal data without authorization.

12. Disclaimers and Limitation of Liability

The Program is provided 'as is.' GetSkyLight disclaims all warranties. Liability is limited to commissions paid in the 12 months before any claim, excluding indirect or consequential damages.

13. Indemnification

Affiliates indemnify GetSkyLight against claims or expenses arising from breaches, IP misuse, or legal violations.

14. Governing Law, Jurisdiction, and Dispute Resolution

This Agreement is governed by Singapore law. Disputes shall be resolved by arbitration or mediation before court action, with Singapore courts having exclusive jurisdiction.

15. Miscellaneous

This Agreement is the entire understanding, superseding prior agreements. No waiver of terms is ongoing unless written. Invalid provisions do not affect remaining terms. Affiliates may not assign rights without written consent.
